Terms of Service

1. Acceptance of Terms

By accessing or using SpaceOS, a service provided by Portonics Limited ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the platform. These terms apply to all visitors, users, and others who access or use SpaceOS.

2. Description of Service

SpaceOS is a software-as-a-service platform designed for managing shared spaces, coworking spaces, corporate offices, cafes, and event venues. The platform provides modular tools including room and desk booking, visitor management, kitchen operations, billing, and reporting. Features and modules may be added, modified, or removed at our discretion.

3. User Accounts

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for safeguarding the password and for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these terms.
• Space owners and administrators are responsible for managing user access within their spaces.

4. Payment Terms

Certain features of SpaceOS require a paid subscription. By subscribing to a paid plan:

• You agree to pay all fees associated with your selected plan and modules.
• Payments are processed securely through Stripe. By providing payment information, you agree to Stripe's terms of service.
• Subscriptions are billed on a recurring basis (monthly or annually) unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.
• Refunds are handled on a case-by-case basis at our discretion.

5. Acceptable Use

You agree not to:

• Use SpaceOS for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the platform, other accounts, or connected systems.
• Interfere with or disrupt the integrity or performance of the platform.
• Upload or transmit viruses, malware, or other malicious code.
• Use the platform to send unsolicited communications (spam).
• Reverse engineer, decompile, or disassemble any aspect of the platform.
• Resell, sublicense, or redistribute access to the platform without our written consent.

6. Intellectual Property

SpaceOS and its original content, features, and functionality are owned by Portonics Limited and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of any data you input into the platform. By using SpaceOS, you grant us a limited license to use, store, and process your data solely to provide and improve our services.

7. Data and Privacy

Your use of SpaceOS is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using SpaceOS, you consent to the data practices described in our Privacy Policy.

8. Service Availability

We strive to maintain high availability of SpaceOS but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, updates, or modifications that temporarily affect service availability. We will make reasonable efforts to notify users of planned downtime in advance.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Portonics Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of SpaceOS. Our total liability for any claims arising under these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Portonics Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of SpaceOS or your violation of these Terms of Service.

11. Termination

We may terminate or suspend your access to SpaceOS immediately, without prior notice or liability, for any reason, including if you breach these Terms of Service. Upon termination, your right to use the platform will cease immediately. You may export your data before termination by contacting our support team. We will retain your data for 30 days after termination, after which it may be permanently deleted.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh.

13. Changes to Terms

We reserve the right to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of SpaceOS after any changes constitutes acceptance of the new terms.
